imec.netzero Public - Terms of Use (version June 30th, 2023)

These are the terms of use ("Terms of Use") of the imec.netzero Public web based application (the "Webapp"). Access to and use of this Webapp by each visitor and/or user ("User") are subject to the following Terms of Use.
Please read these (i) Terms of Use and (ii) Privacy Statement carefully prior to using the Webapp, as these will apply to any User of the Webapp.

1. Introduction - Purpose

IMEC vzw, registered in Belgium under the number of legal entities 0425.260.668, with its registered office at Kapeldreef 75, B-3001 Leuven, Belgium ("imec", "we", or "our") has developed the Webapp that can serve as a virtual fab and is based on model data and the modelled technologies. It enables a quantified view of the environmental impact of Integrated Circuit (IC) high-volume manufacturing for various technologies. With this Webapp imec wants to help identify and classify high-impact environmental challenges in the industry. It’s one of the objectives of the Sustainable Semiconductor Technologies and Systems (SSTS) program, which sets out to assess, improve and disrupt fab processes to reduce their environmental impact.
The Webapp is available in two versions:
  • imec.netzero Public - The present Webapp is currently made available free of charge and offers a User the ability to get more insight into the environmental impact of Integrated Circuits (IC) manufacturing by providing high level information. The Webapp exploits fab models and process databases in a limited configuration in available technologies, in modelling parameters and in the granularity with which the results can be explored and disaggregated.
  • imec.netzero Private - It models a wide range of IC chip technologies, including future ones that are future ones that are not yet in production but still in pathfinding stage. It gives the users many options to parameterize the virtual fab models and fine-tune them to their constraints. The results can be explored up to a high level of granularity, helping identify and study process components with high impact.
Notice: These Terms of Use solely govern the use of the imec.netzero Public or Webapp. The imec.netzero Private is for SSTS partners only governed by their program agreement with imec.

2. Applicable Terms of Use – Privacy Statement – Modifications

By downloading or otherwise accessing or using the Webapp User acknowledges and confirms that it has read and understood these Terms of Use and accepts to be legally bound by the application of these Terms of Use, including the additional Privacy Statement.
If User has any queries about the Webapp or these Terms, you can contact imec by email as set out in Article 11 of these Terms of Use. If User does not agree with all these Terms of Use, User should stop using the Webapp immediately.
Imec may modify these Terms of Use from time to time by amending this page and therefore advise to regularly check this page, as these modifications are binding on you. Any derogation from the present Terms of Use and our Privacy Statement is excluded unless with prior agreement in writing by imec.

3. Access and Use of the Webapp

3.1. Registration as User

"User" as defined as defined in the present Terms of Use is a user that has successfully registered for the Webapp. In order to be able to register, User is required to provide an email address and a secure password in order to create an account ("User Account"). The User is the only one who may use its User Account and must keep its password secret. To complete your registration as a User, you are required to confirm your email address by clicking the email confirmation link in the confirmation email we send User after the registration. If User cannot find this confirmation email, we would like to ask to check your spam folder in your email account, or otherwise to contact netzero@imec-int.com. Enter the User email address and we will send User instructions to reset your password.

3.2. Webapp and User information

After a successful registration, User has access to the Webapp and its related content and may fill in information in the respective fields and is able to copy and/or download an image. User may only upload and/or share information which User is allowed to from a legal, contractual and ethical point of view. Any information User uploads to the Webapp will be considered non-confidential and non-proprietary. User can save settings to be used in the analysis. The analysis settings in the User account are only stored locally in the User browser and any such User information are not tracked by imec.

4. Intellectual property rights

"imec.netzero" is a registered trademark in the Benelux that is owned and used by imec and may only be used, copied, reproduced or transmitted by User in accordance with the Terms of Use, unless explicit consent or contractual arrangements with imec are in place.
Imec holds the rights of all intellectual property rights, whether or not registered, in all material contained on, in, or available through the Webapp including all information, data, methodologies, company names; product names; images and graphics; design; layout; strategies technology, trade secrets, know-how, texts, graphics and/or data, the selection and arrangement thereof, and all software (whether in source code or object code), software compilations and other material ("Material"). All rights are reserved.
User can view, copy and/or download extracts of the Material that User may reproduce, publish, display, distribute, store, transmit, disseminate for its own purposes insofar the present Terms of Use are abided.

5. Mandatory acknowledgement

User must give a proper credit while using any generated graphics/data in full or as excerpts, as follows:
    "Images partially or entirely generated using imec.netzero Public (https://netzero.imec-int.com)."

6. Restrictions and responsibilities

User agrees that when using the Webapp User will comply with all applicable laws and these Terms of Use. In particular, but without limitation, User agrees not to:
  • Use the Webapp in any unlawful manner or in a manner which promotes or encourages illegal activity including (without limitation) copyright infringement, or post content which may be considered as discriminatory, vindictive, threatening, deceptive, libelous, threatening or offensive; or
  • Attempt to gain unauthorised access to the Webapp or any networks, servers or computer systems connected to the Webapp; or
  • Modify, adapt, translate, reverse-calculate the generated data to create a substantially similar database/Webapp, or reverse engineer any part of the Webapp or re-format or frame any portion of the pages comprising the Webapp, save to the extent expressly permitted by these Terms of Use or by law.
User agrees to indemnify imec in full and on demand from and against any loss, damage, costs or expenses which imec suffer or incur directly or indirectly as a result of User’s use of the Webapp otherwise than in accordance with these Terms of Use or applicable laws.

7. Disclaimer - Limitation of liability – no guarantee

This Webapp and all materials offered are available on an 'AS IS' basis and without warranties nor guarantee being provided. Use of the Webapp and any conclusions, interpretations and/or assumptions are at the sole responsibility of User.
IMEC EXPLICITLY EMPHASIZES THAT THE CONTENT AND INFORMATION MADE AVAILABLE DOES NOT CONSTITUTE A GENERAL STANDARD AND CANNOT BE UNDERSTOOD AS A RECOMMENDATION MADE BY ANY INDIVIDUAL IMEC PARTNER NOR BY THE SEMICONDUCTOR INDUSTRY AS A WHOLE. THE INFORMATION IS NOT ADAPTED TO PERSONAL OR SPECIFIC CIRCUMSTANCES AND THEREFORE CANNOT BE CONSIDERED AS PERSONAL, PROFESSIONAL OR LEGAL ADVICE. USE OF THE WEBAPP AND THE INFORMATION CONTAINED THEREIN IS THEREFORE SOLELY AT YOUR OWN RISK.
IMEC cannot exclude the possibility of incorrect technical manoeuvrers or unauthorized interventions. For these reasons, IMEC cannot guarantee that access to the Webapp will not be interrupted or otherwise hindered by such problems.
However, IMEC can under no circumstances be held liable for direct or indirect damages resulting from the use of this Webapp or any information derived or exported as a result of the use of the Webapp.

8. Protection of your Personal Data

IMEC respects your privacy. The limited amount of Personal Data that a User (if any) enters on the Webapp (namely an email address that might contain surname and first name) are treated confidentially. User information will not be used for marketing purposes.

9. Suspension - Termination

IMEC reserves the right to suspend or cease providing any activity relating to the Webapp published by it, with or without notice, and shall have no liability or responsibility to User in any manner whatsoever if it chooses to do so.
IMEC may terminate the use of the Webapp at any time. Upon any termination, (a) the rights and licenses granted to User herein shall terminate: (b) User must cease all use of the Webapp.

10. Hyperlinks

No link may be created from any website which may harm imec or the Webapp. This means websites that are in conflict with the legislation, websites with unethical content, or any other non-moral webpage content.
This ban applies to any form or technique of connection in which the name, address or any other element pertaining to imec, is included or shown on another website or application that harms the Webapp or which refers internet users from this website or application to the Webapp.
IMEC is not liable for any possible damage for hyperlinks to the Webapp originating from other applications or websites allowing direct access to the Webapp.

12. Applicable law and jurisdiction

The use of the Webapp is subject to the present Terms of Use and the Privacy Statement and are governed by Belgian law. Any possible dispute, claim procedure, arising from or incident to these Terms of Use and the Privacy Statement pertain to the exclusive jurisdiction of the courts of Leuven.

13. General

These Terms of Use (as amended from time to time) constitute the entire agreement between User and imec concerning the use of the Webapp.
IMEC reserves the right to update these Terms of Use from time to time. If it does so, the updated version will be effective immediately, and the current Terms of Use are available through a link in the Webapp to this page. User is responsible for regularly reviewing these Terms of Use so that User is are aware of any changes to them and you will be bound by the new policy upon your continued use of the Webapp. No other variation to these Terms of Use shall be effective unless in writing and signed by an authorised representative on behalf of imec.
If any provision(s) of these Terms of Use is held by a court of competent jurisdiction to be invalid or unenforceable, then such provision(s) shall be construed, as nearly as possible, to reflect the intentions of the parties (as reflected in the provision(s)) and all other provisions shall remain in full force and effect.
IMEC's failure to exercise or enforce any right or provision of these Terms of Use shall not constitute a waiver of such right or provision unless acknowledged and agreed to by imec in writing.
